PTSO Bylaws

 

 ARTICLE I

 

Name

 

The name of this organization shall be the Parkdale High School Parent Teacher Student Organization.

 

ARTICLE II

 

Purpose

 

 

Section 1.  The purposes of the Parkdale High School Parent Teacher Student Organization, henceforth (PTSO) is to promote the general welfare of Parkdale’s students in the home and community, to bring about a closer relation between students, teachers, parents and community in order that the parents and teachers and students may cooperate intelligently in the education and welfare of the students, and to develop between educators and the general public such united efforts as will secure for all children and youth the highest advantages in physical, mental, and social education.

 

Section 2. To accomplish the aims and goals of Section 1, Parkdale High School PTSO is organized exclusively for charitable or educational purposes within the meaning of Section 501©(3) of the Internal Revenue Code or corresponding section of any future federal tax code.

 

ARTICLE III

 

Policies

 

Section 1. Parkdale High School PTSO will work collaboratively with parents/guardians, schools, and the community at large to promote the health and welfare of children and youth.

 

Section 2. Parkdale High School PTSO shall work with the school and community to provide quality education for all children and youth and shall seek to participate in the decision-making process establishing school policy, recognizing that the legal responsibility to make decisions has been delegated by the people to the Board of Education, state education authorities, and local education authorities.

 

Section 3. Parkdale High School PTSO shall be noncommercial, non-sectarian and nonpartisan, and no dispersal of funds will be given to PTSO officers for their personal use, profit, or which is has not been approved in support of a PTSO activity.

 

Section 4.  No part of the net earnings of Parkdale High School PTSO shall benefit or be distributed to it’s members, directors, officers, or other private persons except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes of Parkdale High School PTSO.

 

ARTICLE IV

 

Membership and Dues

 

 

Section 1: Parkdale student, parent, guardian, other adult standing in loco parentis

for a student at the school may be a member and shall have voting rights. The principal, teacher, and any counselor employed at the school may be a member and have voting rights in general membership.

 

Section 2. Dues, if any, will be established by the executive board, and must have been paid at least 14 calendar days before the meeting to be considered a member in good standing with voting rights.

 

 

 

ARTICLE V

 

Officers and Elections

 

Section 1.  Executive Committee Officers and Standing Committee Chairs shall be a member in good-standing of the Parkdale High School PTSO.

 

Section 2. The PTSO Executive Board (Executive Officers) shall consist of the President, Vice-President, Secretary, Treasurer, and Parliamentarian, the school principal or designee, and the SGA President or his/her designee.

 

Section 3. Standing Committee Chairs shall be appointed from the PTSO membership by the Executive Board and shall include the following positions:

 

  • Education Committee
  • Fundraising Committee
  • Membership Committee
  • Communications Committee
  • Student Activity Committee

 

 

Section 4.  Officers shall be elected for a term of two (2) years and may serve for no more than two consecutive terms in the same position. 

 

Section 5.  In general, Executive Officers shall be nominated and voted in during the final general meeting of the school year.  However, at anytime the situation warrants, Executive Officers and Committee Chairpersons may be nominated and/or elected.  A majority vote of the present quorum shall be required for election.

 

Section 6. A Thirty (30) Day notice of Election shall be sent to surrounding middle schools that feed into Parkdale.

 

Section 7.  All officers shall assume their official duties on July 1

 

Section 8. A vacancy occurring in any office shall be filled for the unexpired term by a person elected by a majority vote of the executive board, notice of such election having been given.  In case a vacancy occurs in the office of president, the vice president shall serve notice of the election.

 

 

 

ARTICLE VI

 

Duties of Executive Officers

 

Section 1.  The President shall:

 

  1. Preside over all PTSO general and Executive Committee meetings.
  2. With the approval of the Executive Committee, appoint the parliamentarian
  3. Serve on the school’s Implementation Plan committee. (If the PTSO President cannot meet this commitment, a designee will be nominated to serve this function)
  4. Be a member ex-officio of all PTSO standing committees with signatory rights on all financial accounts.
  5. Have signatory rights for all financial accounts.
  6. Attend regional County Education and PTA/PTSO meetings and report back to the membership
  7. Co-Chair the Education Standing Committee

 

Section 2.  The Vice-President shall:

 

  1. Assist the President and shall perform the duties of the President in the absence of that officer.
  2. Represent the President upon request. 
  3. Serve on the Executive Committee.
  4. Communicate regularly with the President regarding all issues and concerns of the PTSO membership
  5. Have signatory rights for all financial accounts
  6. Support the President in moving the organization to achieve its missions and goals
  7. Make an effort to attend regional education board meetings and report back to the membership
  8. Co-Chair the Communications Standing Committee
  9. Perform other duties as may be delegated to the office

 

 

Section 3. The Secretary shall:

 

  1. Record the minutes of all general and Executive Board meetings
  2. File all records
  3. Distribute monthly Executive Committee and General Membership agenda to participants
  4. Co-Chair the Membership Standing Committee
  5. Maintain a current membership list.

 

 

Section 4. The Treasurer shall

  1. Along with the other members of the Executive Board prepare an annual budget
  2. Be responsible for receiving, depositing and the distributions of all monies of the organization
  3. Maintain an accurate record of the receipts and expenditures
  4. Pay out local funds as authorized and approved by the PTSO
  5. Have signatory rights for all financial accounts.
  6. Provide a written financial statement at Executive and general membership meetings
  7. Provide an End-of -Year, and a Beginning-of-Year Financial report to the Executive Committee and general membership.
  8. Co-Chair the Fundraising Standing Committee
  9. Perform other duties as may be delegated to the office.

 

Section 5. The Parliamentarian shall:

  1. Attend all meetings of the PTSO and of the executive board and give necessary advice in parliamentary procedure when requested.
  2. Call the first meeting of the nominating committee
  3. Give instructions in procedure, and may be contacted for additional information,
  4. Chair bylaws committee and review bylaws and standing rules annually
  5. Co-Chairs the Student Activity Standing Committee
  6. Perform other duties as may be delegated to the office.

 

 

Section 6.  All checks and vouchers shall be signed by two persons.  Persons with right of signature include the PTSO President, Vice-President, Treasurer, and school Principal.

 

Section 7.  All officers shall perform the duties outlined in these bylaws and those assigned from time to time.  Upon the expiration of the term of office or in case of resignation, each officer shall turn over to the president, without delay, all records, books, and other materials pertaining to the office, and shall return to the treasurer, without delay, all funds pertaining to the office.

 

ARTICLE VII

 

Executive Board

 

Section 1.  Each board member shall be a paid member in good-standing of this PTSO.

 

Section 2.  A PTSO member shall not serve as a voting member of this PTSO’s Executive Board while serving as a paid employee of, or under contract to, the local school district.

 

Section 3. The Executive Board shall consist of the elected Officers of the Parkdale High School PTSO, SGA President or his/her designee; the school Principal or his/her designee, and the Chairpersons of the standing committees.  The President may appoint a non –voting Parliamentarian subject to the approval of the officers of this PTSO.

 

Section 4. The duties of the Executive Committee shall be as follows:

 

  1. To transact all necessary business for the organization
  2. To approve all plans of work of all standing and special committees.
  3. To have a plan of action, with specific missions and goals ready to present to the PTSO membership on day one of the new year.
  4. To maintain peaceful, positive, and productive communication with all members of the PTSO, school, and community.
  5. To present a summary report on mission, goals and accomplishments during the next to last PTSO meeting of the year (April)
  6. To review and approve the proposed annual budget
  7. To approve payment of routine bills within the limits of the budget
  8. To resolve and make clear all questions of interpretation of Bylaws
  9. To approve installation of other Executive Officers during emergency situations

 

Section 5. The removal of members from Executive Office shall be by two-third vote of the Executive Board. Included shall be narrative and documentation supporting such removal. 

 

Section 6. Supporting documentation supporting the removal of an Executive Officer shall or may include:

 

  1. Failure to report to meetings
  2. Failure to chair designated committees
  3. Failure to carry out duties as assigned
  4. Conflict of interest with other or outside duties
  5. Grave misuse of position, title, or PTSO funds
  6. Any situation that prevents the carrying out of official duties

 

Section 7:  The Executive Board shall consist of the Executive Officers and the Chairs of the Standing Committees, and the non-voting Parliamentarian if appointed.

 

 

ARTICLE VIII

 

Standing Committees

 

Section 1. Parkdale High School Standing Committees include the following:

 

1.      Education Committee - Monitor and report on local school board meetings; Foster an ongoing dialogue with school administration officials, both at the school site and division-wide; Promote and foster parental involvement in the education of children and youth.

2.      Fundraising Committee - The Fundraising Committee shall be responsible for developing, administering and implementing all fundraising activities sponsored by the PTSO.

3.      Membership Committee - The Membership Committee shall be responsible for promoting PTSO membership and administering all fundraising activities sponsored by the PTSO.  The Membership Committee organizes teacher and student appreciation, bake sales and refreshments at PTSO sponsored events.

4.      Communications Committee - The Communications Committee shall be responsible for developing strategies on promoting Parkdale High School to the general community.  This committee shall also be responsible for submitting information to the school’s newspapers and website.

5.      Student Activity Committee – This committee shall work closely with the SGA by informing the PTSO membership of issues or activities involving the student body.

 

Section 2.  Chairing a Standing Committee requires an active voting membership in the PTSO.

Section 3.  The chairperson of each standing committee shall present a plan of work to the Executive Board for approval.  No committee work shall be undertaken without the consent of the Executive Board.

Section 4.  Standing Committees are required to meet as often as needed.  Committee chairpersons shall be present during scheduled PTSO and Executive Committee meetings.

Section 5.  Standing Committee Chairs shall have voting membership on the Executive Board

 

ARTICLE IX

 

PTSO Meetings

 

Section 1. PTSO meetings will be held on the third Tuesday of every month. The official start time of the meeting will be 7:00 p.m.  Five (5) days notice shall be given of a change of date/time.

 

Section 2. In general, all PTSO meetings will follow Roberts Rules of Order to ensure an orderly flow and structure to meetings and proceedings.  Motions will be called and seconded and membership will respect the order of the floor. 

 

Section 3. Two thirds of the Executive Board of this PTSO must be present in order for it to conduct business.

 

Section 4.   In all matters to be voted upon by the membership, a majority vote of members in good standing shall be sufficient to approve or reject the vote called upon.

 

Section 5.  The Executive Board shall convene at least two days prior to a general membership meeting.  The Executive Officers will determine the actual dates and times of the Executive meeting.

 

Section 6.  The meeting to nominate and elect new officers shall be held in May, prior to the official closing of school.

 

Section 7.  The President of the PTSO, the School Principal, or the majority of the Executive Board may request a special call meeting.  Notification of a call meeting shall be given with 5 days notice.  Notice shall be written or via phone calls.

Section 8.  Only members of this PTSO who have paid dues for the current membership year may have a vote concerning PTSO business.

Section 9.  The presence of a minimum of ten (10) members in good standing, including Executive Officers shall constitute a quorum to enable the transaction of business in general PTSO meetings.

ARTICLE X

Financial Policies

 

Section 1. The Treasurer along with the approval of the PTSO President shall select a depository (Bank) for the organization’s funds.  The account shall be opened and maintained in accordance with its 501 (c)(3) status.

 

Section 2.  Parkdale High School PTSO’s fiscal year shall coincide with the school year.

 

Section 3. All expenses must be reviewed by the PTSO President and Treasurer and must be in accordance to the established budget.

 

Section 4. The treasurer shall keep and make available upon request of the Executive Board accurate records of any disbursements, income, and bank account information.

 

Section 5. Two authorized signatures shall be required on any and all checks above the amount of $100. Authorized signers shall be the Treasurer and either the President, Vice-President, or the Principal.

 

Section 6. The treasurer shall prepare and present a final report to the Executive and General membership no later than June 30th of the current school year.

 

 

 


 

ARTICLE XIII

 

 

Review, Approval and Dissolution of Bylaws

 

Section 1. The bylaws shall be reviewed and approved every two (2) years, or with any new amendments or changes to the Bylaws.

Section 2. Bylaws should be reviewed and approved by two-third majority of PTSO membership.

Section 3.  The PTSO may only be dissolved by two-third votes of the Executive Board and two-thirds of the general membership body.  Prior written notice of a meeting to discussion dissolution to the general membership must be presented within thirty (30) days of the time and location of the pending action.
